PRK advised J.P.Morgan with financing of Draslovka’s acquisition…

PRK Partners has advised J.P.Morgan as the sole book runner, transactional advisor and financing arranger in connection with financing of Draslovka’s acquisition of a mining solution business from Chemours’ for USD 521 million, subject to customary cash, debt and working capital adjustments. The term and revolving facility commitments amounted to USD 368,000,000 and supported equity from Draslovka’s existing shareholders to fund the acquisition.

Draslovka is a global leader in cyanide-based chemical specialties and agricultural chemicals based in Kolín, Czech Republic. Draslovka has more than 100 years of experience and its hydrogen cyanide products are applied in the mining industry and agriculture.

The Chemours Company is listed on the NYSE and delivers tailor-made chemical products and solutions to refrigeration, air-conditioning, electronics, mining, oil and gas industries. Chemours globally operates facilities in 120 countries with more than 6,500 employees.

After completion of the transaction on 1st December 2021 Draslovka became the largest global manufacturer of hydrogen cyanide with operations in Europe, America and Australia.

PRK’s legal team was led by Tomáš Vlasak, senior associate (Attorney in the Czech Republic, Solicitor of England and Wales) and supervised by Martin Aschenbrenner, senior partner (Attorney in the Czech Republic and in New York) The team further consisted of senior associates Jan Ditrych and Petra Stupkova.

PRK has advised on Czech law aspects of the transaction documentation including drafting, negotiating and perfection of security, refinancing of the existing indebtedness and on a variety of associated regulatory matters. The transaction further included New York and English law aspects.
