José Humberto is partner at Nader, Hayaux & Goebel and specializes in banking law, corporate finance, structured finance, fintech and other technology companies, emerging companies, private equity, mergers and acquisitions, supply chain transactions and factoring, capital markets, securitizations, debt and corporate restructures insolvency and corporate governance.

He has a strong experience advising in finance law, counseling financial transactions to domestic credit institutions and other foreign and international financial organizations. In addition, he has advised lenders in the financing of structured projects, secured by different kinds of collateral such as real estate mortgages, security trusts, ship mortgages, pledges and other corporate guarantees. He is constantly advising fintech and other technology companies both in their regulatory and transactional legal needs.

As Partner, José Humberto has been ranked by The Legal 500 as “Next Generation Partner 2021” in Banking and Finance. He has written articles for specialized books and magazines, including Acquisition and Finance, Chambers & Partners 2019 and 2020.

José Humberto obtained his Law degree from Universidad Anahuac in 2009 and holds a Masters in Corporate Law (summa cum laude) and a Post-Graduate degree in Corporate Law, both from Universidad Anahuac.

In 2014, he completed his LL.M. at The University of Chicago, and for one year, he accomplished his international experience working as a foreign associate at Proskauer Rose, LLP. in New York City.

Recent work highlights:

  • Advised Casai in the analysis and implementation of its corporate structure in Mexico to achieve an innovative real estate leasing and hospitality platform by creating the most efficient legal and tax framework, to conform with applicable regulation and guaranteeing both legal safety and viability to the project. By issuing a membership, Casai provides hospitality and accommodation services and others to its clients, and brings them to the fingertips of every traveler in the world in both a fast and efficient way.
  • Advises InComm Payments in their transactional operations.
  • Advised Altán Redes as lead counsel in the negotiation of its recent loan facilities in a complex structure involving more than USD$1.7 billion.
  • Advised Banorte in structuring credit facilities to public vehicles backed with capital calls.
  • Advises BNP Paribas in several supply-chain transactions and credit facilities.
  • Advised a foreign fund in structuring several cross-border loans to Mexican companies.
  • Advised IFC in the analysis of the legal framework in Mexico in connection with asset-based lending structures comprising the entire business unit of the borrower (from raw materials, throughout its transformation process, including the encumbrance of accounts receivables and bank accounts) by creating financing structures to which the assets of the borrower are conveyed (i.e. fideicomiso) and pledge of such assets. As part of this program and representation of NHG, he lectured the Judges sitting in Mexico City who may hear controversies of this nature.
  • Advised a family consortium owning and operating hotels in their transactional operations.
