RECENT ENGAGEMENTS INCLUDE ADVISING

ENERGY & NATURAL RESOURCES

  • A JOINT VENTURE OF TWO MAJOR CENTRAL EUROPEAN ENERGY COMPANIES on the EUR 1 billion development of two major CCGT power plants in Slovakia and Hungary, including due diligence on project structure, negotiating and drafting of project documentation and securing financing for the project
  • SLOVALCO, an aluminium smelter operating company, on numerous transactions, including aluminium LME related hedging agreements, acquisition, long term power purchase and other supply contracts and financing of an aluminium producer
  • VÝCHODOSLOVENSKÁ ENERGETIKA (VSE), electricity distribution company with RWE as major foreign shareholder, on a number of corporate, regulatory and energy law matters, including unbundling of electricity distribution in accordance with EU Directive

CORPORATE AND M&A

  • CONTOURGLOBAL on the acquisition of photovoltaic power plants in Slovakia, on general corporate matters including internal reorganization of the Slovak operation, various energy matters and labour law advice
  • HYUNDAI MOTOR COMPANY on the acquisition of a network of authorised dealers and repairers in the Czech Republic and Slovakia from the local entities controlled by Autobinck group
  • RWE PLUS AG on the EUR 130 million privatisation of a 49% share in Východoslovenská energetika (one of three Slovak electricity distribution companies), including due diligence, advising on transaction documents, especially SPA and shareholders’ agreement, bidding procedure, regulatory framework and merger control filing

DISPUTE RESOLUTION

  • A MAJOR LONDON BASED FINANCIAL INSTITUTION on a litigation in front of Slovak courts with the bankruptcy trustee of a Slovak metallurgical company, including out-of-court settlement of the dispute
  • BANCROFT GROUP on commercial dispute between shareholders in relation to the acquisition of a 50% stake in the Slovak producer of food products Frost including subsequent restructuring and refinancing of the target
  • DUBAI AEROSPACE ENTERPRISE (DAE) on filing its claims against a Slovak airline company undergoing restructuring proceeding and subsequent bankruptcy
