Jenny F. Shealy represents health care providers and tax-exempt organizations on wide-ranging regulatory compliance, corporate governance, transactional, and operational matters, with a special focus on issues surrounding tax-exempt healthcare organizations. She regularly advises clients on ways to structure transactions involving tax-exempt and public hospitals, including joint ventures between tax-exempt and for-profit healthcare providers, conversions, joint operating companies, member substitutions and public/private affiliations.

Shealy provides strategic and practical advice regarding various hospital/physician transactions including employment and independent contractor arrangements, professional services agreements with a focus on minimizing the compliance risks caused by extensive and complex regulatory requirements governing the healthcare industry.

She advises various types of tax-exempt organizations to obtain tax exemptions under Section 501(c)(3) or another provision of the tax code and assists tax-exempt organizations with operational compliance issues.  Shealy also provides tax-exempt organizations with guidance regarding bylaws and corporate governance, conflict of interest policies and Board involvement in compliance and quality-related issues.
