Brazil’s Campos Mello Advogados in cooperation with DLA Piper and Ferrere (Uruguay) have helped Cobra Group – the Spanish affiliate of Brazilian power company Carmo Energy – complete its US$1.1 billion acquisition of onshore oil assets from Petrobras.
Petrobras relied on its in-house legal team for the sale.
As part of the deal, multinational energy group Shell agreed a US$1.2 billion prepayment to Carmo for the delivery of oil and gas produced at the acquired assets. Shell enlisted Mattos Filho in Rio de Janeiro and São Paulo and a separate team of lawyers from Ferrere.
Banco Santander financed the prepayment by Shell, turning to Brazil’s RGSH Advogados and another group of Ferrere lawyers for counsel.
