First Capital , a financial holding company listed on Euronext Growth Milan, and Value Track have signed, together with Invest Italy SIM , the SIM of the First Capital Invest Italy SIM group, an agreement to integrate Value Track’s operational activities into the latter’s business.
The terms of the operation provide that Invest Italy SIM acquires the operational activities of Value Track, upon transfer of the same to a newly established vehicle, through a consideration to be paid partly in cash and partly with newly issued Invest Italy SIM shares, coming from by a specific capital increase.
Following the closing, Invest Italy SIM will be renamed Value Trask SIM; First Capital will continue to own the majority; minority shareholders will be the managers Marco Greco, current CEO of Value Track, and Luca Di Liddo, CEO of Invest Italy SIM. The operation is subject to obtaining regulatory authorizations from the Supervisory Authority.
